Advice to Firms Seeking a Buyer

It is essential that anyone seeking a buyer for his firm is in contact with the right consultant. Working through SECICAS will reduce the instances of filing an incomplete and problematic application with FINRA for a change in ownership of your firm.  We will make sure that the potential buyer meets the requirements for being an owner of a BD and will assist you in completing the sale.

 
Preparation for a SEC, FINRA or other SRO Examination

Preparing for a SEC, FINRA or other SRO examination can sometimes be stressful.  SECICAS seeks to relieve B/Ds of that stress.  SECICAS will liaise with the SEC or the applicable SRO and prepare the B/D for the examination.  Additionally, SECICAS will monitor the examination and alert the firm to any issue that could be problematic.  If any problematic issue arises, SECICAS will work with the firm to resolve the matter and provide guidance to prevent future rule infractions.

 
Post-Examination Work

The completion of a SEC, FINRA or other SRO examination can sometimes be the beginning of very serious correspondence and dealings with those bodies.  It is extremely important that the BD provides the most compelling information and responses to SEC, FINRA or other SRO.  Having been involved in many such situations as an employee of FINRA, SECICAS personnel are well positioned to guide BDs through this post-examination period. SECICAS will work with the BD to implement corrective measures, systems and procedures to foster an environment that reduces the likelihood of any future rule infractions.

 
Written Supervisory Procedures (WSP)

SECICAS will prepare and update the WSP of FINRA member firm so that the WSP complies with all applicable rules and regulations and contains sufficient details to provide the member with an adequate supervisory roadmap.  Additionally, SECICAS will provide education and training to its clients to help them comply with the provisions of the WSP.  SECICAS will also provide BDs with guidance about new rules and regulations by SEC, FINRA and other SRO.

 
Compliance Reviews of B/D

Every client of SECICAS will benefit from the extensive experience of the firm’s personnel in reviewing its operations for compliance with FINRA’s rules and federal rules and regulations.  As a FINRA employee, the principal of SECICAS has conducted and performed supervisory reviews of examinations of FINRA members of every business and organizational type. 

 
Rule 1017 Applications

As an examiner and supervisor in FINRA’s New York and New Jersey District offices, the principal of SECICAS processed hundreds of applications involving every aspect of the securities industry.  Additionally, SECICAS personnel were involved in many challenging and problematic applications that flowed through FINRA. B/D’s utilizing SECICAS’ services will get a high level of expertise and experience in all aspects of their business and, therefore, their Rule 1017 applications.

 
B/D New Member Applications

SECICAS specializes in shepherding FINRA applicants through the New Member Application Process (“MAP”).  As a former examiner and supervisor in FINRA’s New York and New Jersey offices, principal of SECICAS has extensive experience in dealing with the MAP program.  Additionally, SECICAS personnel were involved in many aspects of the development of the rules dealing with new member applications.  SECICAS recognizes a new member applicant’s need for a fast approval of its application.  As such, SECICAS will work with the applicant and FINRA to bring about a speedy approval of each applicant’s new member application, thus enabling the applicant to commence business as a FINRA member in a short period of time.
